Id be a little worried about the high millage. If the motor sound healthy and the seller has service records id feel better. Just something to be aware of. That head gasket could be on its way out... or not. These are good motors if taken care of. If that rumble comes from the exhaust it might be a bad cat or lose clamps and hangers. The driver skirt is lose might be worth asking whats up with that. I'd venture to say you could get it fixed-up and ready to pass emissions...sell it for a nice little profit. Shouldn't be an issue if you don't get stuck in traffic.
